These Terms of Use (the “Terms”) form a binding agreement between Stella And Pow OÜ (“Stella And Pow”, “we”, “our”, “us”), a private limited company incorporated under the laws of the Republic of Estonia, with Estonian Business Register code 14816946, VAT number EE102222139, and registered office at Majaka tn 26, Lasnamäe linnaosa, 13516 Tallinn, Harju maakond, Estonia, and you, the user (“you” or “User”) of the website sugardaddyplanet.com (the “Platform”).

The “Sugar Daddy Planet” brand and trademarks, the sugardaddyplanet.com domain name, the Platform’s source code and the editorial content of the Platform are owned by Polaris Nexus LLC, a limited liability company incorporated under the laws of the State of Wyoming, United States, with registered office at 1621 Central Ave, Cheyenne, WY 82001 (“Polaris Nexus”). Stella And Pow operates the Platform under a license granted by Polaris Nexus for the European Union, the United Kingdom, the European Economic Area and Switzerland.

By accessing, registering or using the Platform, you confirm that you have read, understood and accepted these Terms in full, together with our Pravilnik o zasebnosti, Cookies Policy, Community Guidelines, Anti-Trafficking & No-Escort Policy, Age Verification Policy, Refund Policy, Cancellation Policy, DMCA Policy in Legal Notice (together, the “Agreement”).

If you do not agree with any part of this Agreement, you must not register or use the Platform.

1. Purpose of the Platform

Sugar Daddy Planet is a private social network for adults aged 18 or over, interested in connecting with other adults for consensual dating and companionship. The Platform offers, among other features:

Creation of personal profiles with photographs and descriptions.
Search and visualization of other users’ profiles.

Sugar Daddy Planet is not an escort service, a dating agency, a sexual services platform, an intermediary in financial transactions between users, or a marketplace for adult content. The Platform enforces a strict Anti-Trafficking & No-Escort Policy with zero tolerance, and use of the Platform for any such purpose is strictly prohibited and will result in immediate and permanent account termination.

Stella And Pow OÜ does not introduce, recommend or vouch for any individual user. Users decide for themselves whether and how to interact with one another, and bear sole responsibility for those decisions.

2. Territorial scope

The Platform is operated by Stella And Pow OÜ from Estonia and is directed to users resident in the European Union, the United Kingdom, the European Economic Area and Switzerland. The Platform is not directed to, and is not made available to, users resident in the United States or in any other jurisdiction where the operation of the Platform would be unlawful.

You are responsible for ensuring that the use of the Platform is lawful in your country of residence. If the Platform is not lawful where you live, you must not use it.

3. Eligibility

To register and use the Platform, you must:

Be at least 18 years old, or the age of legal majority in your country of residence, if higher.
Be using the Platform in your own name and on your own behalf.
Not have been previously banned, suspended or otherwise excluded from the Platform.
Have legal capacity to enter into a binding contract.
Not be acting on behalf of a person or organization seeking to use the Platform for any prohibited purpose, including the sale of sexual services or the recruitment of others to do so.

We verify the age of our users through the procedures set out in our Age Verification Policy, which includes verification through Ondato, an EU-regulated identity verification provider. Providing false information about your age constitutes a material breach of this Agreement and may also constitute a criminal offense in many jurisdictions.

4. Account registration

To access most features of the Platform, you must create an account.

You must provide truthful, accurate, current and complete information during registration, and keep it updated.
You are responsible for safeguarding your credentials (email and password) and for all activity carried out from your account.
You agree to notify us immediately at info@sugardaddyplanet.com of any unauthorized use of your account.
You may not create or maintain multiple accounts, except where expressly authorized by us.
You may not transfer your account to another person.

We reserve the right to suspend or terminate any account that does not comply with these conditions, that shows signs of impersonation, falsehood or fraudulent use, or that breaches any other provision of this Agreement.

5. Free access and paid subscriptions

The Platform offers different levels of access:

5.1 Free access

Allows registered users to view profiles and read the forum, with no possibility of sending private messages or posting in the forum.

5.2 Paid subscriptions

Provide full access to the social network, including private messaging, integrated video calls and posting in the forum, for the contracted period. The following subscription plans are typically offered:

Monthly subscription — full access for one month, automatically renewable.
Quarterly subscription — full access for three months, automatically renewable.
Annual subscription — full access for one year, automatically renewable.

The available plans, their prices and any current promotions are displayed clearly at checkout. The price you pay is the price displayed at checkout, in the currency shown, including any applicable taxes (including VAT, where applicable) calculated at that point.

We may, from time to time, offer discounts or promotional pricing to new users or specific segments. Such promotions do not entitle other users to equivalent compensation, discount or right.

6. Subscription terms and auto-renewal

This Section is important. Please read it carefully.

6.1 Term

Each subscription begins on the date payment is successfully processed and continues for the contracted period (one month, three months or one year, depending on the plan).

6.2 Automatic renewal

Unless you cancel before the end of the current period, your subscription will renew automatically for a new period of equal duration, charged at the then-applicable price of the plan, using the payment method on file.

At checkout, before payment, you will see clearly:

The plan you are about to purchase.
The price and currency.
The frequency of renewal.
The date of the next renewal.

You will also expressly consent to the auto-renewal, as a condition of completing the purchase.

6.3 Notification

Before each renewal of a long-duration subscription (quarterly or annual), we send a reminder email to the address associated with your account, where required by applicable law.

6.4 Cancellation

You can cancel your subscription at any time, in three clicks, directly from your account settings, with no need to contact customer support. See our Cancellation Policy for the full procedure.

Cancelling stops future renewals. Your access to paid features continues until the end of the current paid period.

6.5 Refunds

Refunds are governed by our Refund Policy, which includes:

A 14-day cooling-off period for consumers in the European Union, the United Kingdom and the European Economic Area, in accordance with the Consumer Rights Directive 2011/83/EU and equivalent national laws.
The specific cases in which refunds are granted outside the cooling-off period.
The cases in which refunds are not granted.

By starting to use the Platform’s paid features before the 14-day period has expired, you give your express consent for the service to begin immediately and acknowledge that you will lose your right of withdrawal once the service has been fully performed. This consent is captured separately at checkout.

7. Payments

Stella And Pow OÜ acts as the Merchant of Record for all transactions on the Platform. Stella And Pow issues invoices in accordance with Estonian law and applicable European Union VAT rules.

All payments are processed by third-party payment processors, which act as secure payment gateways. Stella And Pow OÜ does not store your full card number or banking credentials. Payment data is handled by the payment processor in accordance with its own terms and privacy policy.

The descriptor that appears on your card or bank statement for any charge from the Platform will identify Stella And Pow OÜ (or an abbreviated descriptor such as “STELLA SDP” or “SUGAR DADDY PLANET”, depending on the limits of the payment network used). If you do not recognize a charge, please contact us first at info@sugardaddyplanet.com so we can help resolve the issue quickly.

If a payment fails (for example, an expired card, insufficient funds or a declined transaction), we may:

Retry the payment within a reasonable timeframe.
Suspend access to paid features until the payment is settled.
Cancel the subscription if the payment cannot be processed within a reasonable period.

You are responsible for keeping your payment information up to date and for ensuring that you have sufficient funds available.

8. User content and license

The Platform allows you to upload, post or transmit content, including profile descriptions, photographs, comments and messages (“User Content”).

8.1 Your responsibility

You are solely responsible for your User Content. You represent and warrant that:

You own or have the right to share your User Content.
Your User Content does not infringe any third-party rights, including copyright, trademark, right of publicity, image right, privacy or contractual rights.
Your User Content complies with this Agreement, our Community Guidelines and applicable law.

8.2 License to Stella And Pow

By posting User Content on the Platform, you grant Stella And Pow OÜ — and, where strictly necessary for the operation, hosting, backup, intellectual property protection or legal defense of the Platform, its licensors (including Polaris Nexus LLC) and its sub-contracted processors — a non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, distribute and adapt your User Content for the limited purpose of:

Operating and providing the Platform to you and to other users.
Moderating the Platform and enforcing this Agreement and our policies.
Complying with legal obligations and responding to requests from authorities.

This license terminates when you remove the User Content from the Platform or when you close your account, except where:

Other users have legitimately copied or saved the content within the Platform (for example, conversation history).
Retention is required by law or in connection with a legal claim, investigation or our Anti-Trafficking & No-Escort Policy.

8.3 Content visible to other users

By posting content on your profile, you accept that it will be visible to other registered users of the Platform, as described in our Pravilnik o zasebnosti, Section 10.

9. Acceptable use and prohibited conduct

You agree to use the Platform lawfully, respectfully and in accordance with our Community Guidelines, Anti-Trafficking & No-Escort Policy in Age Verification Policy.

The following conduct, among others described in our Community Guidelines, is strictly prohibited:

Offering, soliciting, advertising or arranging sexual services in exchange for money or any other consideration.
Advertising or promoting escort services or redirecting users to escort sites.
Any conduct involving human trafficking, exploitation, coercion or the recruitment of victims.
Any sexual or romantic interaction directed at, or involving, a minor.
Catfishing, impersonation, fake profiles or the use of third-party photographs without consent.
Fraud, scams, requests for money under false pretenses, phishing.
Harassment, threats, hate speech, doxxing, non-consensual intimate imagery.
Explicit sexual content on profiles, public posts or unsolicited private messages.
Spam, bulk messaging, automated activity or any abuse of Platform features.
Attempts to circumvent moderation, age verification, bans, geographic restrictions or these Terms.

Breach of these prohibitions results in the consequences described in Section 11 below and may also constitute a criminal offense.

10. Moderation

We moderate the Platform using a combination of automated tools, human review and user reports. See Section 9 of our Community Guidelines and our Trust & Safety Center for a description of our approach.

You can report any conduct that breaches this Agreement using the Report button available throughout the Platform, or by contacting info@sugardaddyplanet.com.

Stella And Pow OÜ reserves the right — but not the obligation — to:

Review, remove, modify or refuse any User Content.
Investigate any suspected violation of this Agreement.
Suspend or terminate accounts in accordance with Section 11.

11. Suspension and termination

11.1 Termination by us

We may suspend or terminate your account, with or without notice, if:

You breach this Agreement, our Community Guidelines, Anti-Trafficking & No-Escort Policy, Age Verification Policy or any other policy referenced in this Agreement.
We reasonably believe that your conduct exposes us, other users or third parties to legal, reputational or financial risk.
You attempt to circumvent age verification, geographic restrictions, bans or our moderation systems.
Termination is required by applicable law or by a competent authority.

Termination for cause means immediate forfeiture of any unused subscription period, in accordance with our Refund Policy.

11.2 Appeals

You can appeal a moderation decision against your account by following the procedure in Section 12 of our Community Guidelines. Decisions made for violations involving trafficking, exploitation, child sexual abuse material or serious fraud are not subject to appeal.

11.3 Termination by you

You may close your account at any time from your account settings, as described in our Cancellation Policy. Closing your account before the end of a paid period does not entitle you to a refund of the remaining period, except in the cases described in our Refund Policy.

12. Intellectual property

All intellectual and industrial property rights in the Platform — including, without limitation, the design, source code, the “Sugar Daddy Planet” name, trademarks and logos, the sugardaddyplanet.com domain name, texts, images, videos, databases, editorial content, and the structure, selection, arrangement and presentation of content — are owned by Polaris Nexus LLC (Wyoming, United States), and are made available to Stella And Pow OÜ under an exclusive license to operate the Platform in the European Union, the United Kingdom, the European Economic Area and Switzerland.

Nothing in this Agreement transfers to you any intellectual property right of Polaris Nexus LLC, Stella And Pow OÜ or any third party. You are granted only a limited, personal, non-exclusive, non-transferable and revocable right to access and use the Platform for its intended purposes, subject to this Agreement.

You may not reproduce, distribute, transform, publicly communicate, make available, extract, reuse, scrape or otherwise exploit any content of the Platform, in whole or in part, except as expressly authorized in writing by Polaris Nexus LLC or Stella And Pow OÜ, or as permitted by applicable law.

If you believe content on the Platform infringes your intellectual property rights, please notify us through the procedure set out in our DMCA Policy.

13. Third-party services and links

The Platform may contain links to third-party websites or services. Stella And Pow OÜ does not control, does not assume responsibility for, and does not endorse the content, security or practices of those services. Access to third-party services is at your own risk.

14. Privacy and data protection

Your personal data is processed in accordance with our Pravilnik o zasebnosti and our Cookies Policy, which form an integral part of this Agreement.

For the purposes of Regulation (EU) 2016/679 (the “GDPR”) and the UK General Data Protection Regulation, Stella And Pow OÜ is the data controller of personal data processed via the Platform in relation to users in the European Union, the United Kingdom, the European Economic Area and Switzerland. The contact details for data protection matters are set out in our Privacy Policy.

15. Disclaimers

The Platform is provided “as is” and “as available”, without warranties of any kind, express or implied, to the maximum extent permitted by applicable law.

Stella And Pow OÜ does not warrant that:

The Platform will be uninterrupted, secure or free of errors.
The information on the Platform is accurate, complete or up to date.
Defects will be corrected.
The Platform is free of viruses or other harmful components.
The Platform will meet your expectations.

We do not control the conduct of users and we make no representation about the identity, intentions, conduct, suitability or background of any user. You are solely responsible for your interactions with other users, on and off the Platform.

Nothing in this Section limits or excludes any warranty that cannot be limited or excluded under applicable law, including the rights of consumers in the European Union and the United Kingdom.

16. Limitation of liability

To the maximum extent permitted by applicable law, Stella And Pow OÜ, its licensors (including Polaris Nexus LLC), its affiliates and their respective officers, employees, agents and contractors shall not be liable for:

Indirect, incidental, special, consequential or punitive damages.
Loss of profits, revenue, data, goodwill or business opportunities.
Damages arising from interruptions, technical failures, viruses or attacks on the Platform.
Damages arising from your interactions, agreements, meetings or transactions with other users.
Damages arising from the unlawful, improper or fraudulent use of the Platform by third parties.
Damages arising from your reliance on User Content or on any information available on the Platform.

In any event, the maximum aggregate liability of Stella And Pow OÜ (together with its licensors and affiliates) to you, in connection with this Agreement or the use of the Platform, shall not exceed the amounts you have actually paid to Stella And Pow OÜ during the twelve (12) months preceding the event giving rise to the claim.

Nothing in this Section limits or excludes any liability that cannot be limited or excluded under applicable law, including liability for fraud, gross negligence, willful misconduct or, in the case of consumers in the European Union and the United Kingdom, liability for personal injury or death caused by negligence or for any breach of mandatory consumer protection law.

17. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend and hold harmless Stella And Pow OÜ, its licensors (including Polaris Nexus LLC), its affiliates and their respective officers, employees, agents and contractors from and against any and all claims, demands, damages, losses, costs and expenses (including reasonable attorneys’ fees) arising out of or in connection with:

Your User Content.
Your use of the Platform.
Your breach of this Agreement or of any policy referenced in it.
Your violation of any law or of any right of a third party.

Nothing in this Section limits the mandatory rights of consumers under applicable law.

18. Force majeure

Stella And Pow OÜ shall not be liable for any failure or delay in performance under this Agreement caused by events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, civil unrest, pandemics, governmental action, internet outages, denial-of-service attacks or failures of third-party service providers.

19. Changes to these Terms

We may update these Terms from time to time to reflect changes in law, technology, business practices or the structure of the Platform. The “Last updated” date at the top of this page indicates the version in force.

For material changes, we will notify you with reasonable advance notice through email and/or in-platform notification before the changes take effect. Continued use of the Platform after the effective date of the updated Terms constitutes acceptance of the changes.

If you do not agree with a material change, you can close your account before the change takes effect, in accordance with our Cancellation Policy.

20. Governing law and jurisdiction

This Agreement, and any matter arising from or in connection with the use of the Platform, is governed by the laws of the Republic of Estonia, without regard to its conflict-of-law principles, and, where applicable, by the law of the European Union.

For the resolution of any dispute, the parties submit to the competent courts of Tallinn, Republic of Estonia, with the carve-outs described below.

20.1 Consumers in the European Union, the United Kingdom, the European Economic Area and Switzerland

The foregoing is without prejudice to the mandatory rights granted to consumers under the law of their country of residence, which cannot be waived by contract. EU, UK, EEA and Swiss consumers retain the right to bring proceedings before, and the right to be sued in, the courts of their country of residence, in accordance with applicable mandatory consumer protection law (including, for EU consumers, Article 18 of Regulation (EU) 1215/2012).

20.2 Online dispute resolution

EU consumers are informed of the Evropske spletne platforme za resevanje sporov, available at ec.europa.eu/consumers/odr, in accordance with Article 14.1 of Regulation (EU) 524/2013.

21. Miscellaneous

21.1 Entire agreement

This Agreement, together with the policies referenced in it, constitutes the entire agreement between you and Stella And Pow OÜ regarding the use of the Platform, and supersedes any prior agreements, representations or understandings.

21.2 Severability

If any provision of this Agreement is held to be invalid, illegal or unenforceable by a competent court or authority, the remaining provisions shall continue in full force and effect, and the document shall be interpreted in the manner that best reflects the original intent of the parties.

21.3 No waiver

The failure of Stella And Pow OÜ to enforce any right or provision of this Agreement shall not be deemed a waiver of that right or provision.

21.4 Assignment

You may not assign this Agreement or any of your rights or obligations under it. We may assign this Agreement to any successor, affiliate or acquirer of our business, or to Polaris Nexus LLC or any other licensor of the Platform, with reasonable notice to you.

21.5 Notices

Notices to Stella And Pow OÜ must be sent to info@sugardaddyplanet.com or to the postal address set out in Section 22. Notices to you will be sent to the email address associated with your account.

21.6 Language

These Terms are originally drafted in English. Translations may be provided for convenience. In the event of any inconsistency, the English version prevails, except where applicable mandatory law provides otherwise for consumers in their country of residence.
